  3. TERMS AND CONDITIONS

  5. Read this agreement before using this Computer Life
  6. CD-ROM DISK ("CD").  BY USING THE CD YOU AGREE TO BE
  7. BOUND TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.
  8. The articles and other textual materials from Computer
  9. Life, multimedia software and associated documentation,
  10. utilities and other software associated documentation, 
  11. and other materials included on this CD and their 
  12. compilation whether on disk, in read only memory on any
  13. other media, (the "collection") are licensed to you
  14. subject to terms and conditions of this agreement by
  15. Ziff-Davis Publishing Company, having a place of business
  16. at One Park Avenue, New York, New York 10016-5802
  17. ("Ziff-Davis").  Your rights to use other programs and
  18. materials included on the CD are also governed by separate
  19. agreement distributed  with those programs and materials
  20. on the CD (the "Other Agreements").  In the event of any
  21. inconsistencies between this Agreement and any of the Other
  22. Agreements those agreements shall govern.  By using this 
  23. Collection, in whole or in part, you agree to be bound by
  24. the terms and conditions of this Agreement and the Other
  25. Agreements.  Ziff-Davis owns the title to the Collection
  26. and to all intellectual property rights therein, except
  27. insofar as it contains materials that are proprietary to 
  28. third-party suppliers.  All rights in the Collection except
  29. those expressly granted to you in this Agreement are reserved
  30. to Ziff-Davis and such suppliers, as their respective interests
  31. may appear.

  33. 1.  Limited License
  34.  
  35. Ziff-Davis grants you a limited nonexclusive, nontransferable
  36. license to use the Collection on a single dedicated computer. 
  37. This Agreement and you right hereunder shall automatically 
  38. terminate if you fail to comply with any provision of this
  39. Agreement.  Upon such termination, you agree to destroy the
  40. CD and all copies of the CD, whether or not lawful, that are 
  41. in your possession or under your control.

  44. 2. Additional Restrictions
  45.  
  46. A.  You shall not (and shall not permit other persons or entities
  47. to) directly or indirectly, by electronic or other means, reproduce
  48. (except for archival purposes as permitted by law), publish, 
  49. distribute, network, rent, lease, loan, or otherwise transfer
  50. the Collection or any part thereof or this Agreement.  Any attempt
  51. to do so, shall be void and of no effect.
  52.  
  53. B.  You shall not (and shall not permit other persons or entities) 
  54. to reverse-engineer, decompile, disassemble (or otherwise reduce 
  55. the Collection, or any part thereof, to a human-perceived form), 
  56. merge, modify, create derivative works of, or translate the 
  57. Collection or any part thereof, or use the Collection for any 
  58. commercial purpose.  You may not electronically transmit the 
  59. Collection from one computer to another or over a network.

  62. C.  You shall not (and shall not permit other persons or 
  63. entities) to remove or obscure Ziff-Davis's or it's supplier's 
  64. copyright, trademark, or other proprietary notices or legends 
  65. from any portion of the Collection or any related materials.

  68. D.  You agree and certify that the Collection will not be 
  69. exported outside the United States except as authorized and as 
  70. permitted by the laws and regulations of the United States.  
  71. If the Collection has been rightfully obtained outside of the
  72. United States, you agree that you will not re-export the 
  73. Collection, except as permitted by the laws and regulations 
  74. of the United States and the laws and regulations of the 
  75. jurisdiction in which you obtained the Collection.

  78. 3.  Limited Warranty and Limited Liability
  79.  
  80. A.  THE ONLY WARRANTY MADE BY ZIFF-DAVIS IS THAT THE ORIGINAL
  81. PHYSICAL MEDIA IN WHICH THE COLLECTION IS EMBODIED AND WHICH ARE
  82. DISTRIBUTED BY ZIFF-DAVIS SHALL BE FREE OF DEFECTS IN MATERIALS
  83. AND WORKMANSHIP FOR A PERIOD OF NINETY (90) DAYS AFTER DELIVERY 
  84. TO YOU.  ZIFF-DAVIS'S AND IT'S SUPPLIERS ENTIRE LIABILITY AND 
  85. YOUR EXCLUSIVE REMEDY SHALL BE LIMITED TO THE REPLACEMENT OF
  86. THE ORIGINAL PHYSICAL MEDIA, IF DEFECTIVE, WITHIN A REASONABLE 
  87. PERIOD OF TIME.

  89. B.  EXCEPT AS SPECIFICALLY PROVIDED ABOVE, THE COLLECTION IS 
  90. PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AND ZIFF-DAVIS 
  91. AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, EITHER 
  92. EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY 
  93. OR MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  THE 
  94. ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE 
  95. AND OTHER MATERIAL THAT IS PART OF THE COLLECTION IS ASSUMED 
  96. BY YOU, AND ZIFF-DAVIS AND ITS SUPPLIERS ASSUME NO 
  97. RESPONSIBILITY FOR THE ACCURACY OR APPLICATION OF ERRORS OR 
  98. OMISSIONS IN THE COLLECTION AND DO NOT WARRANT THAT THE
  99. FUNCTIONS CONTAINED IN THE COLLECTION WILL MEET YOUR REQUIREMENTS, 
  100. OR THAT THE OPERATION OF THE COLLECTION WILL BE UNINTERRUPTED 
  101. OR ERROR-FREE, OR THAT THE DEFECTS IN THE COLLECTION WILL 
  102. BE CORRECTED.  IN NO EVENT, INCLUDING NEGLIGENCE, SHALL 
  103. ZIFF-DAVIS OR ITS SUPPLIERS BE LIABLE FOR ANY DEFECT, DIRECT 
  104. OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL.  DAMAGES 
  105. ARISING OUT OF THE USE OR INABILITY TO USE THE COLLECTION, 
  106. EVEN IF ZIFF-DAVIS OR ITS SUPPLIERS HAVE BEEN ADVISED OF 
  107. THE LIKELIHOOD OF SUCH DAMAGES OCCURRING.  ZIFF-DAVIS AND 
  108. ITS SUPPLIERS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGES, 
  109. OR COSTS ARISING OUT OF, BUT NOT LIMITED TO, LOST PROFITS
  110. OR REVENUE; LOSS OF USE OF THE COLLECTION; LOSS OF DATA OR 
  111. EQUIPMENT; COST OF RECOVERING SOFTWARE, DATA OR MATERIALS 
  112. IN THE COLLECTION; CLAIMS BY THIRD PARTIES; OR OTHER SIMILAR
  113. COSTS.

  115. C.  THE WARRANTIES AND REMEDIES SET FORTH HEREIN ARE EXCLUSIVE 
  116. AND IN LIEU OF ALL OTHERS, ORAL OR WRITTEN, EXPRESSED OR IMPLIED,
  117. NO ZIFF-DAVIS AGENT OR EMPLOYEE OR THIRD PARTY IS AUTHORIZED TO 
  118. MAKE ANY MODIFICATION OR ADDITION TO THIS WARRANTY.

  120. D.  SOME STATES DO NOT ALLOWS EXCLUSION OR LIMITATION OF IMPLIED
  121. WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR 
  122. CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS 
  123. MAY NOT APPLY TO YOU.

  125. E.   IN NO EVENT SHALL ZIFF OR ITS SUPPLIERS TOTAL LIABILITY 
  126. TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER 
  127. IN CONTRACT, TORT (INCLUDING LICENSE) OR OTHERWISE) EXCEED THE 
  128. AMOUNT PAID BY YOU FOR THE COLLECTION.

  131. 4.  U.S. Government Restricted Rights
  132.  
  133. The collection is licensed subject to RESTRICTED RIGHTS.  
  134. Use, duplication, or disclosure by the U.S. Government or any 
  135. person or entity acting on its behalf is subject to restrictions
  136. as set forth in subdivision (c) (1) ii. of the Rights in Technical
  137. Data and Computer Software Clause at DFARS (48 CFR 252.227-7013)
  138. for DoD contracts, in paragraphs (c) (1) and (2) of the Commercial
  139. Computer Software Restricted Rights clause in the FAR 
  140. (48 CFR 52.227-19) for civilian agencies or in the case of NASA, 
  141. in clause 18-52.227-86 (d) of the NASA Supplement to the FAR or 
  142. in other comparable agency clauses.  The contractor/manufacturer 
  143. is Ziff-Davis Publishing Company.

  146. 5.  General Provisions
  147.  
  148. Nothing in this Agreement constitutes a waiver of Ziff-Davis's 
  149. or its suppliers's rights under U.S. copyright laws or any other 
  150. federal, state, local, or foreign law.  You are responsible for 
  151. installation, management, and operation of the Collection.  This 
  152. Agreement shall be construed, interpreted, and governed under 
  153. New York Law.  If for any reason a court of competent jurisdiction 
  154. finds any provision of this License, or portion thereof, to be 
  155. unenforceable, that provision of the License shall be enforced 
  156. to the maximum extent permissible so as to effect the intent of 
  157. the parties and the remainder of this License shall continue in 
  158. full force and effect.  This License constitutes the entire 
  159. agreement between the parties with respect to the use of the 
  160. Collection and supersedes all prior or contemporaneous 
  161. understandings or agreements, written or oral, regarding such 
  162. subject matter.  No amendment to or modification of this License 
  163. will be binding unless in writing and signed by a duly authorized 
  164. representation of ZIFF-DAVIS.
